When it is time to arrange the financing for an acquisition, it is important to be creative. When seeking money to buy a company, you will notice that a number of community banks, typically big funders of certain acquisitions, are encountering difficulty due to their degraded residential (builders) loan portfolio. Creativity can make the difference between accessing capital or canceling the acquisition, especially now when credit markets are tighter.

Here are some options for financing acquisitions:

1. Owner financing / seller financing - Go to the seller first. Who is better prepared to finance the business than the person or company who owned it? They know the business better than anyone and are most familiar with its risks. In the current environment, you should be able to get 40-70% of the business financing via owner financing. You must convince the seller you are a good risk, just as you would have to convince a bank.

2. Supplier or vendor financing - The target company's suppliers and vendors are a good source of financing. Their business is likely to increase under your new ownership. (i.e., If you do not intend to grow the business, why would you buy it?) Leverage that growth in their business to negotiate for financing from them. If the target company has been a good customer, the supplier is knowledgeable about the business and will understand the inherent risks better than a typical bank. Note that if you are an existing business acquiring another business, you can pursue financing from your suppliers and vendors. The same reasons apply.

3. Mezzanine financing or private equity funding - Mezzanine and private equity funds that serve the small and medium markets raised large sums of money before the market meltdown. They therefore have money to spend and are looking for great opportunities. With fewer people and companies making acquisitions right now even though multiples are very low, now is a great time to obtain mezzanine financing. The target company typically will need revenue of $10 - $20 million and higher and EBITDA of $2 - 3 million and more to be interesting to a mezzanine or private equity fund. Why? These funds have to spend large amounts in a relatively short period of time (5-7 years) so they need larger deals.

4. Bank debt - If the target company has a lot of medium to long-term assets in addition to good cash flow and a strong profit margin, you should have relatively few problems finding bank financing. However, if you want to buy a service company which has a lot of receivables and other short term assets, you may encounter difficulty. Find a bank that has a history of financing the type of company you are buying. Also, talk to the seller's banker. If the seller has a strong banking relationship, the banker will know the business well, increasing the likelihood that that bank will provide financing in order to retain the relationship and the itinerant deposit accounts.

5. Receivables financing - If you find it difficult to obtain bank financing, pursue account receivables financing firms. They can provide term loans and lines of credits against the receivables. Although the interest rate will be higher, these firms are more familiar with receivables financing and thus often more comfortable with lending against receivables.

6. Pre-paid sales - Approach the target's customers and ask them to make a bulk purchase or pre-pay for several months' or a year's worth of products or services in exchange for a strong discount.

These are some acquisition funding options to stimulate your own creative thinking and approach. There are other alternatives, some of which may be unique to your particular business.

The second reason is, even people with not so good credit can be approved for an unsecured loan, because they are normally done in house, instead of through a bank chain. To raise money to start business is not as difficult as most people seem to think. This is especially true when you have an idea that can make you and your backers rich. Actually, there's more money available for new business ventures than there are good business ideas. We will help you for where you can get money for business.

A very important rule of the game to learn: Any time you want to raise money, your first move should be to put together a proper prospectus.

This prospectus should include a resume of your background, your education, training, experience and any other personal qualities that might be counted as an asset to your potential success. It's also a good idea to list the various loans you've had in the past, what they were for, and your history in paying them off.

You'll have to explain in detail how the money you want is going to be used. If it's for an existing business, you'll need a profit and loss record for at least the preceding six months, and a plan showing how this additional money will produce greater profits. If it's a new business, you'll have to show your proposed business plan, your marketing research and projected costs, as well as anticipated income figures, with a summary for each year, over at least a three year period.

It'll be advantageous to you to base your cost estimates high, and your income projections on minimal returns. This will enable you to "ride through" those extreme "ups and downs" inherent in any beginning business. You should also describe what makes your business unique---how it differs form your competition and the opportunities for expansion or secondary products.

This prospectus will have to state precisely what you're offering the investor in return for the use of his money. He'll want to know the percentage of interest you're willing to pay, and whether monthly, quarterly or on an annual basis. Are you offering a certain percentage of the profits? A percentage of the business? A seat on your board of directories?

An investor uses his money to make more money. He wants to make as much as he can, regardless whether it's short term or long term deal. In order to attract him, interest him, and persuade him to "put up" the money you need, you'll not only have to offer him an opportunity for big profits, but you'll have to spell it out in detail, and further, back up your claims with proof from your marketing research.

Venture investors are usually quite familiar with "high risk" proposals, yet they all want to minimize that risk as much as possible. Therefore, your prospectus should include a listing of your business and personal assets with documentation---usually copies of your tax returns for the past three years or more. Your prospective investor may not know anything about you or your business, but if he wants to know, he can pick up his telephone and know everything there is to know within 24 hours. The point here is, don't ever try to "con" a potential investor. Be honest with him. Lay all the facts on the table for him. In most cases, if you've got a good idea and you've done your homework properly, and "interested investor" will understand your position and offer more help than you dared to ask.

When you have your prospectus prepared, know how much money you want, exactly how it will be used, and how you intend to repay it, you're ready to start looking for investors.

As simple as it seems, one of the easiest ways of raising money is by advertising in a newspaper or a national publication featuring such ads. Your ad should state the amount of money you want--always ask for more money than you have room for negotiating. Your ad should also state the type of business involved ( to separate the curious from the truly interested), and the kind of return you're promising on the investment.

Take a page from the party plan merchandisers. Set up a party and invite your friends over. Explain your business plan, the profit potential, and how much you need. Give them each a copy of your prospectus and ask that they pledge a thousand dollars as a non-participating partner in your business. Check with the current tax regulations. You may be allowed up to 25 partners in Sub Chapter S enterprises, opening the door for anyone to gather a group of friends around himself with something to offer them in return for their assistance in capitalizing his business.

You can also issue and sell up to $300,000 worth of stock in your company without going through the Federal Trade Commission. You'll need the help of an attorney to do this, however, and of course a good tax accountant as well wouldn't hurt.

It's always a good idea to have an attorney and an accountant help you make up your business prospectus. As you explain your plan to them, and ask for their advice, casually ask them if they'd mind letting you know of, or steer your way any potential investors they might happen to meet. Do the same with your banker. Give him a copy of your prospectus and ask him if he'd look it over and offer any suggestions for improving it, and of course, let you know of any potential investors. In either case, it's always a good idea to let them know you're willing to pay a "finder's fee" if you can be directed to the right investor.

Professional people such as doctors and dentists are known to have a tendency to join occupational investment groups. The next time you talk with your doctor or dentist, give him a prospectus and explain your plan. He may want to invest on his own or perhaps set up an appointment for you to talk with the manager of his investment group. Either way, you win because when you're looking for money, it's essential that you get the word out as many potential investors as possible.

Don't overlook the possibilities of the Small Business Investment Companies in your area. Look them up in your telephone book under "Investment Services." These companies exist for the sole purpose of lending money to businesses which they feel have a good chance of making money. In many instances, they trade their help for a small interest in your company.

Many states have Business Development Commissions whose goal is to assist in the establishment and growth of new businesses. Not only do they offer favorable taxes and business expertise, most also offer money or facilities to help a new business get started. Start thinking about the idea of inviting investors to share in your business as silent partners. Think about the idea of obtaining financing for a primary business by arranging financing for another business that will support the start-up, establishment and developing of the primary business. Consider the feasibility of merging with a company that's already organized, and with facilities that are compatible or related to your needs. Give some thought to the possibilities of getting the people supplying your production equipment to co-sign the loan you need for start-up capital.

Remember, there are thousands upon thousands of ways to obtain business start-up capital. This is truly the age of creative financing.

Disregard the stories you hear of "tight money," and start making phone calls, talking to people, and making appointments to discuss your plans with the people who have money invest. owners, is great. After all, unlike a loan, grants are funds that don't
have to be repaid. Many of us have heard various sources proclaiming to
have the secret to obtaining small business grants and they may very
well have a legitimate listing of grantors (organizations or
individuals that award funds to others for a specific purpose). But if
you don't know the real deal about small business grants you may be
wasting your time and your money.

The allure of these so-called small business grants is understandable.
Small business owners are always looking for ways to minimize their
financial risk so why not try to get a grant? But there is a lot of
hype out there, especially via the Internet. This could leave grant
seekers scrambling and disillusioned. But the fact is grants do exist.
The hype comes in when people start spreading the myth that there is
this catchall fund for any business owner looking to obtain some extra
money. That is just not the case. It's not as easy as filling out an
application and you get a check in the mail. You could get turned down.

One of the best places to research the availability of business grants and loans is the Small Business Administration, an agency of the federal government with a mandate to help business, especially small business succeed. The Small Business Administration which has local offices in all major metropolitan areas has three different loan programs, each one designed to help various segments of the business market get access to business grants and loans.

They deliver these loans through their banking and other lending institutional partners and while they provide the money and information an individual business must apply directly to a lending institution to get business grants and loans. They suggest that you go to the meeting with the lenders well prepared, with a copy of a business plan, personal and business financial statements and projections, as well as any collateral that may be available to secure the financing.

The most popular form of business grants and loans made available through the Small Business Administration are called 7 (a) loans. These business loans are so named after the section in the Small Business Act that offers the provision of these loans. In order to be eligible for this type of business loan a business must have good character, quality management capabilities, and a good business plan. If a business meets this criteria it becomes eligible under the Act and then can apply to the bank, credit union or other lender for a business loan that is guaranteed by the Small Business Administration in the case of default or bankruptcy.

Applications for business loans and grants from the Small Business Administration are available on their website, from banks and other approved lenders, and from local Small Business Administration offices across the country. If you visit the local office an agent from the agency will be happy to provide you with information and assistance to applying for business grants and loans that are available under their auspices.

While the Small Business Administration does not have any monies to provide directly for business grants and loans they can direct businesses to a number of government agencies and departments that do provide this type of assistance. These include particular programs that offer business grants and loans to military veterans, persons with disabilities, minority groups, and special provisions for business activities related to disaster relief and faith based initiatives.

There are also special programs that offer business grants and loans to assist welfare recipients to get back into the workforce, improve the environment, and support the work of the military both at home and abroad. Many women in business find that in order to meet their business' financial needs, they turn to searching out a loan source. Business loans for women are widely available through the Small Business Administration and a variety of other sources such as banks, credit unions and other financial institutions. Loans, however, are not the only source for financing. In some instances, business grants for women are available.

Business grants for women are a wonderful option for some women in business. Grants are an excellent source of funding because grants are not repaid. The funding is provided through government resources that have been budgeted for specific needs in our national community. Anyone is open to apply, so business grants for women are available to anyone regardless of gender, race, religion, or background.

The downside of grants is that business grants for women are not widely available. Rather, business grants for women are available only to select businesses and under very strict circumstances, mostly for research or development. Technologically-focused businesses, for example, will find it much easier to qualify for a grant than a craft or retail business. Still, because the money is readily available, even if your business is retail oriented, it may be of benefit to check into business grants for women available for various resources that could assist you in your business.

According to Denouement Solutions and Grants.gov, the United States government and its government organizations offer more 1000 grants totaling more than $400 billion in grant funding every year. Only 10 percent of citizens that qualify for these grants actually apply for grants, despite the fact that many more than that would qualify for a business grant for women. Therefore, even though not every individual or business is eligible for a business grant for women, it certainly can be beneficial to check into business grants for women.

According to grants.gov, the United States government's web site and main resource for grants that are available and can be applied for, there are more than 1000 grant programs offered by the 26 Federal grant-making agencies. These programs fall into 21 different categories, as defined by the Catalog of Federal Domestic Assistance. While some agencies may list available grants under multiple grant categories, the Federal government lists these categories of grants as follows:

Even though the category of Business and Commerce may be what appears to have the largest selection of resources for business grants for women, consider the other categories as well, according to where your business falls. For example, if your business is a restaurant, don't hesitate to check the Food and Nutrition category for grants currently available. If your business is a farm, check the Agriculture section.

Grants aren't available for starting or opening a new business, and they also aren't available for expanding on an existing business. However, business grants for women can offer funding for research or development of the business. Many grants may not be applicable to your particular business or needs, but there may be funds available for research, education, or other things needed for you to operate and improve your business to help you achieve business growth.

In general, when considering the options for a business grant for women, do your homework and read carefully. Look at all grants available that might be related to your particular business. Consider looking into the Business and Commerce section, of Grants.gov, as mentioned, and also look into the different categories of grant fundings. Take the time needed to read the grant qualifications carefully. With any business, check into the Regional Development category, as well as the Community Development category. Depending on your location within the United States, it's possible to qualify for a grant to economically develop certain areas, and expanding a business in one of these areas can possibly assist you in qualifying for a business grant for women.

Additionally, consider applying for an educational grant if returning to school is an option you'd like to consider. Many grants for higher education are offered each year, and not all are awarded. Knowledge is an extremely valuable business tool, and because the money is readily available for those who qualify, and educational grant is an excellent option to consider as a business grant for women.

Tutoring

If you've ever been a teacher, you might just be surprised to know that an online tutor is one way you can use your previous skills. With this type of work, you tutor students who are having problems with a subject area that you are an expert in. You may be able to do this exclusively online, or you might see students in your home or travel to their homes.

Is this really "selling"?

Yes, it is, in the sense that it requires a certain level of "selling" yourself and your skills. You have to make yourself known to clients and you have to make your services desirable to them. If you're so uncomfortable with the concept of selling anything (even yourself or your services) that you think you simply can't, then work at home positions might not work out for you unless you are a work at home employee for a specific employer in a telecommuting type of situation.

If you want to work at home and have your own business, though, you're going to have to learn to "sell" yourself. This is an integral part of a having any type of work at home business. You have to make yourself known to clients and you have to make your skills appealing to them. That is simply part of what you have to do.

With that said, though, it's still not the same thing to market yourself and your services as it is to sell something like skincare products, make up, and so on. In other words, there are many options to the "direct selling" that these types of businesses require you to do; there are many other things that you can do at home that simply require the "sale" of yourself and the services you provide.

Organizing Tips for Small Business Success

If you discovered the bottom line in your business depended on the organization in your office, your reaction could range from complete composure to sheer terror. Organization certainly has an effect on your bottom line – and just as significantly – on your peace of mind. For the small business or home office professional, effective organizing can mean the difference between business failure and success. For the 11.1 million workers who have their offices at home, organization skills can have a significant impact on their personal lives as well.

At no time in history has there been a greater need for getting organized. There are three major reasons for this:

(1) Information is accumulating at a faster rate every day. The speed of the microchip doubles every 18 months - with no end in sight. Every day we are bombarded with new opportunities and challenges. Having the right information at the right time can turn a prospect into a client, a disaster into an opportunity.

(2) Not only do we have more to organize, but the demand to organize it continually increases. Computers, fax machines, cellular phones, and on-line services enable us - and require us - to do more than ever before. If I can e-mail you a question in 20 seconds, why can’t you respond with equal speed? And if you don’t, I’ll move on to your competition!

(3) Small businesses owners rarely have sufficient cash flow to administrative assistants to keep them organized, so they are faced with organizing themselves. Support staff that are available are given more and more responsibilities. Many entrepreneurs have no support staff. Streamlining procedures and eliminating unnecessary steps to minimize personnel time required to complete each task is essential.

Organizing effectively requires continually asking the questions: “Is this the best way to do this?” “Is this the best time?” “Are these the best people?” Let’s look at six aspects of organizing any small office or home office:

1. People 2. Finances 3. Information 4. Things 5. Space 6. Time

Identifying the right person to do the right job is a key component to reaching your desired goals. That assumes, of course, that the desired goal is clearly defined and measurable! (If not, return to “Go!”) If your company has a “staff of none,” you have to wear a lot of hats. Outsourcing aspects of your business, from word processing, mailing, or bookkeeping to sales, marketing, or project management, is often very cost effective, and good organizing skills will significantly increase your ability to use that avenue. Using family members in your business can be a good strategy – and tax deductible. (My children started doing my filing when they were 10 years old!)

Lack of capital is often cited as one of the biggest causes of failure in a small business. Great ideas and products without solid financial planning, and more importantly, effective execution of that plan, will never reach the marketplace. It’s often easier to save money than to earn it – keep those overhead expenses at a minimum. And it’s cheaper to keep a client than to get a new one, so take good care of the ones you have (unless your client is expecting you to give an unrealistic discount because of longevity – in which case you may be better off finding a new!)

Research shows that the average person spends 150 hours a year looking for misplaced information. Identify what information you need to provide the products and services your company offers. Take a proactive approach. Don’t wait until the filing cabinets are too full to file, but there’s no time to make decisions about what to throw away! A few hours with an organizing consultant before there is a problem can prevent weeks of grief later on.

Many offices are filled with things no one uses, while unnecessary time and energy is spent looking for things you really need. Identify a “Office Organizing Day” – wear comfortable clothes and order pizza for lunch for everyone. (Give that old printer to a school or non-profit organization that doesn’t have any – and, as a bonus, write it off as a tax deduction!) Repeat the event annually as a good business practice.

Offices everywhere are getting smaller. Organizing space requires arranging things in such a way that everyone can easily use the right thing at the right time. The best source of additional space are often the walls. Bookshelves, open shelf filing systems, and workstations with “working walls” can be a major boon to the perennial space problem. If you’re working at home, make sure your “home office” is a place you love.

Creative minds (a requirement for any successful business) always have more ideas than the physical body can carry out. Recognize that fact and spend time planning to identify the most crucial activities. Working smarter, not harder, is in the best interest of business and family. The carpenter’s axiom - “Measure twice; saw once” - is good advice for any business.

My definition of organization is very simple: Does it work? Do you like it? And, if what you do effects other people (and it will if you plan to stay in business), “Does it work for everyone?”

How long will it take to get organized? It doesn’t matter – just start! The longer you wait to begin, the more time it will take, and the more difficult it will be. Remember that in any organizing process, things will sometimes feel worse before they feel better. To manage change is difficult. Human behavior is not like computer software, it cannot be installed. It has to be nurtured. It takes time to learn new behavior patterns. Forgive yourself when you miss the mark. The rewards of good organizing skills will be well worth your efforts!
